Land banking and lot takedown structures

 

  • Represented a national homebuilder in a three-stage acquisition exceeding $47.5 million for 310 residential units in Loudoun County, Virginia, combining a direct lot takedown with two successive institutional land-bank closings, the last conveying a 64-unit condominium parcel carrying 307,200 square feet of approved density, with a deferred payment secured by a letter of credit and a monetary proffer escrow holding partial releases for every unit.

  • Represented a national homebuilder in the acquisition of 630 lots on approximately 231 acres in Chesterfield County, Virginia — a bulk land purchase from three sellers followed six weeks later by a separate finished-lot purchase from the community's developer — and in the $30.6 million conveyance of 598 of those lots into an institutional land bank under an option agreement with a forty-eight-month takedown schedule.

  • Represented a national homebuilder in a phased institutional land-bank acquisition of 584 lots — 264 single-family detached, 97 villa and 223 townhome — in Sussex County, Delaware, under a lot finishing agreement exceeding $44 million, closing out environmental remediation with a recorded certificate of completion.

  • Represented a national homebuilder in the substitution of institutional land bankers on a 336-lot community in Sussex County, Delaware — terminating the original land banker's option of record, conveying to the incoming land banker and recording a replacement option, sequenced across four recording dates.

  • Represented a national homebuilder in the institutional land-bank acquisition of 329 lots — 175 single-family detached and 154 villa — in Kent County, Delaware, and in restructuring the horizontal work agreement mid-project from application-for-payment funding to an escrow and payment-notice mechanic certified against the construction schedule.

  • Represented a national homebuilder in the $27.56 million land-bank acquisition of 112 finished homesites in Ashburn, Loudoun County, Virginia, across nine phases of a residential condominium, with a memorandum of right of repurchase and a scheduled seller work agreement deferring final paving post-closing.

  • Represented a national homebuilder in the institutional land-bank acquisition of 224 townhome lots in the City of Fredericksburg, Virginia, closing simultaneously with the seller's acquisition of the stormwater management parcel and the recordation of a reciprocal access easement across a shared spine road.

  • Represented a national homebuilder in the institutional land-bank acquisition of 216 single-family attached lots in Sussex County, Delaware, under a lot finishing agreement exceeding $14 million, with the public works agreement amended at closing to add the builder and the land-bank purchaser as parties.

  • Represented a national homebuilder in a $19.53 million four-party assemblage of five parcels totalling approximately 21 acres in Laurel, Anne Arundel County, Maryland — 186 units of townhome and two-over-two product — taking assignment of two landowner contracts and settling three statements on a single day into a land-bank titleholder.

  • Represented a national homebuilder in the land-bank acquisition of 199 homesites in Sussex County, Delaware under a master option program, with takedowns scheduled through 2030.

  • Represented a national homebuilder in the land-bank acquisition of 194 homesites in Henrico County, Virginia under a master option program, closing within days of the underlying purchase contract being assigned to a new seller entity.

  • Represented a national homebuilder in the land-bank acquisition of 136 townhome homesites in Frederick County, Virginia, with takedowns scheduled through March 2028.

  • Represented a national homebuilder in the $4.6 million land-bank acquisition of 126 townhome sites on approximately 17 acres in the City of Richmond, Virginia, with the entire deposit posted as a letter of credit and a contractual minimum purchase price notwithstanding per-lot pricing.

  • Represented a national homebuilder in the land-bank acquisition of 107 single-family detached lots on approximately 53 acres in Sussex County, Delaware, under a site development work agreement covering the pump station, sewer, storm drain, water and state highway improvements.

  • Represented a national homebuilder in the $7 million acquisition of approximately 42 acres for 100 single-family detached lots in Fauquier County, Virginia, with part of the purchase price held back by letter of credit against proffer obligations tied to an adjacent data center, and a separate off-site improvement escrow.

  • Represented a national homebuilder in the land-bank acquisition of 89 waterfront townhouse lots in Baltimore County, Maryland, resolving a FEMA floodplain map revision by conditional letter of map revision and securing inculpable person status for the land-bank titleholder under Maryland's voluntary cleanup program.

  • Represented a national homebuilder in the land-bank acquisition of 72 townhome lots in Albemarle County, Virginia, with deferred seller consideration secured by a promissory note and deed of trust delivered at closing, and an option termination fee agreement.

  • Represented a national homebuilder in the land-bank acquisition of 52 age-restricted villa lots in Baltimore County, Maryland, taking two deeds from the underlying seller alongside a shared infrastructure agreement, a recorded declaration of deferred water and sewer charges, and a separate carve-out lot closing.

  • Represented a national homebuilder in the land-bank acquisition of 46 single-family detached lots in Baltimore County, Maryland, closing by direct deed to the land bank following the seller's environmental remediation and the recordation of an easement with the adjoining shopping center.

  • Represented a national homebuilder in the first-phase acquisition of 219 residential lots in Jefferson County, West Virginia within a 195-acre, 716-lot planned community, closing the underlying acquisition and the land-bank conveyance within a month of each other.

 

Homebuilder land and lot acquisition

  • Represented a national homebuilder in the assignment of a purchase contract covering approximately 650 single-family detached lots in Sussex County, Delaware.

  • Represented a national homebuilder in the finished-lot takedown of 36 lots in Frederick County, Virginia across two closings totalling $4.14 million, following the seller's deed of dedication and subdivision of the property.

  • Represented a national homebuilder in a $3.58 million finished-lot transaction covering approximately 63 resubdivided lots in the City of Salisbury, Maryland, funded by cash release to the developer at settlement and resolving a stormwater management reimbursement and a traffic circle contribution.

  • Represented a national homebuilder in the phased finished-lot takedown of approximately 64 townhouse lots in Harford County, Maryland, resolving seller finishing conditions and the reissue of stormwater discharge authorizations in the days before the initial closing.

  • Represented a national homebuilder in the $1.1 million finished-lot takedown of 20 lots in Baltimore County, Maryland, subject to a private water and sewer facilities charge regime, with four partial lender releases coordinated after settlement.

  • Represented a national homebuilder in individual finished-lot takedowns in the City of Annapolis, Maryland, each subject to a recorded declaration of private water and sewer facilities charges.

  • Assisted a national homebuilder in the acquisition of 18 finished lots in Sussex County, Delaware.

 

Land development and lot sales

 

  • Represented a Maryland real estate partnership in the sale and finishing of 189 residential lots in Middle River, Maryland, for aggregate consideration exceeding $24 million, with a deferred installment secured by a letter of credit.

  • Represented a Maryland real estate partnership in phased sales exceeding $23 million for 86 townhouse lots and 34 single-family lots in Annapolis, Maryland, under separate lot development and finishing agreements.

  • Represented a Maryland real estate partnership in phased sales exceeding $21 million for 87 villa lots and 124 active adult condominium units in Prince George's County, Maryland, with seller-completed infrastructure.

  • Represented the seller in the $22.5 million sale of a 27-acre industrial development site in Anne Arundel County, Maryland, as part of a Section 1031 exchange involving a development agreement, lease terminations and infrastructure and environmental obligations.

  • Advised on a multiphase residential public-private partnership project in Anne Arundel County, Maryland.

  • Negotiated a land condominium structure and the sale of a land unit to a national franchise.

  • Advised on the proposed conversion of office and hotel development sites to residential use, addressing prior approvals, infrastructure capacity and site plan requirements.

  • Provided local zoning analysis supporting national affordable housing developers' applications and projects.

 

Commercial acquisition and disposition

 

  • Represented a regional developer in the $30 million acquisition of three retail shopping centers in Kent County, Delaware.

  • Represented purchasers in the $22.5 million acquisition of a five-parcel commercial portfolio in Anne Arundel County, Maryland, involving tenancy-in-common ownership, acquisition financing and two Section 1031 exchanges.

  • Represented the buyer in the $7 million acquisition of an approximately 21,000-square-foot, fully leased mixed-use building in downtown Annapolis, Maryland.

  • Assisted a private company in the acquisition of a $7.2 million, fully leased commercial property in Annapolis, Maryland.

  • Represented the seller in the $6 million sale of an approximately nine-acre industrial outdoor storage property subject to a ground lease.

  • Assisted a regional REIT in the acquisition of a $4.75 million, fully leased commercial property in Luzerne County, Pennsylvania.

  • Represented the seller in the $4.25 million sale of a retail and warehouse building in Annapolis, Maryland, including Section 1031 exchange and replacement-property structuring.

  • Assisted a local development company in a $2.65 million property sale in Anne Arundel County, Maryland.

  • Represented a regional developer in simultaneous acquisitions in Morris County, New Jersey, and Prince George County, Virginia.

 

Finance

 

  • Represented a Maryland real estate partnership in a $17 million first-lien refinancing of a three-property commercial portfolio, consolidating existing loans into a regional bank facility.

  • Negotiated and closed a $7.5 million refinancing of a debt facility secured by a retail shopping center, with a life insurance company lender.

 

Other

 

  • Represented a regional real estate investment company in court proceedings concerning unauthorized occupants of a property in Prince George's County, Maryland.
