Our corporate practice supports real estate transactions and operating businesses across the Mid-Atlantic. We form and maintain holding companies, joint ventures, operating partnerships, and special-purpose entities used in development and investment; counsel principals through buy-ins, separations, and succession; and document the recurring corporate machinery (governance, capital calls, distributions, transfer restrictions) that real estate ownership groups depend on.

We negotiate commercial leases on both the landlord and tenant side for shopping centers, office, flex, warehouse, industrial, and mixed-use projects. Our work runs from initial letter of intent through long-term renewals, amendments, subleases and assignments, work agreements, SNDAs, lease enforcement, and lease restructurings. We routinely paper ground leases for developers ground-leasing land to operating tenants and for tenants taking long-term positions on owned land.

LAND USE

We represent property owners, developers, and homebuilders before county planning departments, planning boards, and zoning hearing officers in Annapolis, Anne Arundel County, and surrounding jurisdictions. Our work includes site plan applications, special exceptions and variances, re-zoning petitions, subdivision review, and adequate public facilities compliance. We also conduct zoning due diligence and entitlement reviews for buyers and lenders evaluating projects mid-stream.

GOVERNMENT RELATIONS

Businesses, property owners and real estate developers facing legislative and regulatory challenges require sound and strategic advice to ensure that their views are heard in the regulatory agencies, county commissions, municipal governments, and state capitals that govern the jurisdictions where they do business.
