Ryan C. Day represents national and regional homebuilders and the developers who sell to them, structuring and closing land and lot acquisitions — including institutional land-bank and rolling takedown transactions — across Maryland, Virginia, Delaware, West Virginia and the District of Columbia.
Before founding KatzDay, Ryan served as Vice President and General Counsel of Hogan Companies, LLC, providing legal support across its real estate brokerage and development businesses, including the acquisition, sale, financing, entitlement, and leasing of development projects.
Earlier in his career, Ryan was a partner on the Bankruptcy and Creditors’ Rights team at LeClairRyan, A Professional Corporation, advising creditors and other parties in bankruptcy proceedings and creditors’ rights litigation in state and federal courts.
Ryan previously served as law clerk to Chief Judge Ross W. Krumm of the U.S. Bankruptcy Court for the Western District of Virginia. During law school, he interned with the U.S. Securities & Exchange Commission’s Division of Enforcement and spent summers at two Washington, DC area law firms.
Ryan earned his J.D., with honors, from The George Washington University Law School and his B.S. in Management Science and Statistics, with honors and Gemstone Citations, from the University of Maryland’s Robert H. Smith School of Business. He is admitted to practice in Maryland, Virginia, and the District of Columbia.

• Represented a national homebuilder in a three-stage acquisition exceeding $47.5 million for 310 residential units in Loudoun County, Virginia, combining a direct lot takedown with two successive institutional land-bank closings.
• Represented a national homebuilder in an acquisition exceeding $30 million for an approximately 600-unit residential community in Chesterfield County, Virginia, with an institutional land-bank structure and rolling lot takedowns.
• Represented a national homebuilder in a phased acquisition exceeding $27.5 million for 112 finished homesites in Ashburn, Virginia, through an institutional land-bank structure.
• Represented a national homebuilder in an acquisition exceeding $26 million for 126 finished homesites in a townhouse condominium community in Manassas, Virginia, through an institutional land-bank structure.
• Represented a Maryland real estate partnership in the sale and finishing of 189 residential lots in Middle River, Maryland, for aggregate consideration exceeding $24 million, with a deferred installment secured by a letter of credit.
• Represented a Maryland real estate partnership in phased sales exceeding $23 million for 86 townhouse lots and 34 single-family lots in Annapolis, Maryland, under separate lot development and finishing agreements.
• Represented a Maryland real estate partnership in the $22.5 million sale of an industrial development site in Anne Arundel County, Maryland, as part of a Section 1031 exchange involving infrastructure and environmental obligations.
• Represented a Maryland real estate partnership in phased sales exceeding $21 million for 87 villa lots and 124 active adult condominium units in Prince George’s County, Maryland, with seller-completed infrastructure.
• Represented a Maryland real estate partnership in a $17 million refinancing of a three-property commercial portfolio, consolidating existing loans into a regional bank facility.
• Represented a national homebuilder in an acquisition exceeding $13 million for 52 villa lots in an age-restricted community in Baltimore County, Maryland, involving institutional land-bank financing and shared infrastructure obligations.
