Ryan C. Day represents national and regional homebuilders and the developers who sell to them, advising on land and lot acquisitions, institutional land-bank structures and rolling takedown agreements in Maryland, Virginia and across the Mid-Atlantic.
Before founding KatzDay, Ryan served as Vice President and General Counsel of Hogan Companies, LLC, providing legal support across its real estate brokerage and development businesses, including the acquisition, sale, financing, entitlement, and leasing of development projects.
Earlier in his career, Ryan was a partner on the Bankruptcy and Creditors’ Rights team at LeClairRyan, A Professional Corporation, advising creditors and other parties in bankruptcy proceedings and creditors’ rights litigation in state and federal courts.
Ryan previously served as law clerk to Chief Judge Ross W. Krumm of the U.S. Bankruptcy Court for the Western District of Virginia. During law school, he interned with the U.S. Securities & Exchange Commission’s Division of Enforcement and spent summers at two Washington, DC area law firms.
Ryan earned his J.D., with honors, from The George Washington University Law School and his B.S. in Management Science and Statistics, with Honors and Gemstone Citations, from the University of Maryland’s Robert H. Smith School of Business. He is admitted to practice in Maryland, Virginia, and the District of Columbia.

• Represented a national homebuilder in a three-stage acquisition exceeding $47.5 million for 310 residential units in Loudoun County, Virginia.
• Represented a national homebuilder in connection with a $30.6 million conveyance involving 598 residential lots in Chesterfield County, Virginia.
• Represented a national homebuilder in connection with a $26.6 million acquisition involving 126 townhouse condominium units in Manassas, Virginia.
• Represented a Maryland real estate partnership in a $17 million first-lien refinancing consolidating three commercial properties into a single regional bank facility.
• Represented the seller in the $22.5 million disposition of an industrial development site in Anne Arundel County, Maryland, as part of a Section 1031 exchange involving infrastructure and environmental obligations.
• Represented a national homebuilder in the $27.56 million acquisition of 112 finished homesites in Ashburn, Loudoun County, Virginia.
• Represented a national homebuilder in connection with a $26.45 million acquisition of approximately 172 acres planned for 552 residential lots in Greene County, Virginia.
