Douglas M. Irvin advises homebuilders and developers on land acquisition and development and on common interest development law.
Doug counsels declarants and builders on the structure, documentation, operation and sale of master-planned communities, condominiums, homeowners associations and residential, retail, office and mixed-use associations. He joined KatzDay as a Partner in 2025 after more than four years as Associate Region Counsel for a Fortune 500 homebuilder, supporting operations across six states and Washington, DC. That role focused on acquiring and developing raw land and finished lots for residential construction.
Doug earned his J.D., cum laude, from the University of Baltimore School of Law and his B.A. in English from the University of Virginia.
Representative Matters
• Represented a national homebuilder, as declarant, in creating a new Virginia townhome property owners' association — drafting the declaration, bylaws, articles and the common interest community resale certificate — where the community was held through a land bank whose consent rights had to be written into every declarant provision before the land banker would approve recordation.
• Represented a national homebuilder in structuring and drafting the governing documents for a townhouse condominium created within a land condominium at a 107-unit phase in Howard County, Maryland, where annexation into an existing, third-party-controlled master community was a condition to closing.
• Represented a national homebuilder, as declarant, in negotiating a land banker's consent and control rights out of the governing documents for a new Virginia property owners' association, where the proposed provisions would have required the land banker's written consent to every individual lot conveyance, to annexation and boundary line adjustments, to rule-making and to conversion of Class B membership.
• Represented a national homebuilder, as declarant of a waterfront community in Baltimore County, Maryland, in restructuring the declaration and community pier covenants so the association could own and operate a shared pier, allocate boat slips by reservation and license, and carry the insurance and maintenance cost of the waterfront improvements.
• Represented a national homebuilder in preparing the Virginia disclosure and sales package for two adjoining associations in Loudoun County, where the county required each home to be served by an individually owned grinder pump and the covenants had to allocate that maintenance obligation between owner and association and disclose it to buyers.
• Represented a national homebuilder acquiring 119 finished lots in an established, seller-controlled master community in Caroline County, Virginia, where the builder took no assignment of declarant rights and had to rely on the declaration's builder exemptions while its buyers assumed a mandatory resident golf membership and assessment.
• Represented a regional developer evaluating the conversion of a rental apartment community to a for-sale condominium in Maryland, mapping the statutory conversion timetable and the tenants' right of first refusal before the client committed.
• Represented a national homebuilder in title review and objections for a 65-lot subdivision in Westmoreland County, Virginia, clearing the commitment's exceptions and chain-of-title instruments as a condition to the lot purchase agreement proceeding.
