Anthony J. Clark helps developers, homebuilders and landowners take a project from raw land to a functioning community, handling acquisition, development agreements, construction contracts and the condominium regimes and homeowners associations that govern the finished product.
Anthony also counsels clients on entity formation and dissolution, and advises declarants and participating builders on the creation, documentation and governance of master-planned communities, condominium regimes, homeowners associations and mixed-use projects. He joined KatzDay as Counsel in 2022 and became a Partner in 2024.
Anthony earned degrees in Criminology and Criminal Justice and Sociology from the University of Maryland, College Park, and his law degree from The Catholic University of America Columbus School of Law. He is admitted to practice in Maryland.
Representative Matters
• Represented a national homebuilder in restructuring the community association framework for a 651-lot master-planned resort community in Dorchester County, Maryland — amending and restating the master declaration, the homeowners association declaration and the recreation corporation documents in a single coordinated recording, unwinding four layers of instruments that had passed through two successive chains of declarant-rights assignments and carried third-party consent rights over rules, enforcement and the community's approved unit count.
• Represented a national homebuilder in the acquisition of single-family sections of a Maryland resort community developed on a decommissioned state hospital campus, addressing three recorded Voluntary Cleanup Program certificates of completion that restrict groundwater use across the property and void automatically on any transfer made without advance notice to the Department of the Environment, and resolving competing preemptive rights held by two homebuilders over the same parcel.
• Represented a national homebuilder in a phased institutional land-bank acquisition in Sussex County, Delaware under a lot finishing agreement, including the substitution of one land banker for another and the closing of a state brownfield remediation with a recorded certificate of completion of remedy and environmental covenant.
• Represented a national homebuilder in the land-bank acquisition of 329 lots — 175 single-family detached and 154 villa — in Kent County, Delaware, with a $23.25 million lot finishing agreement and takedowns scheduled from December 2025 through March 2028.
• Represented a national homebuilder in the acquisition of 107 single-family detached lots on 53.5 acres in Sussex County, Delaware, closing into an institutional land bank the following week, with a $7.27 million site development agreement covering the pump station, sewer, storm drain, water and state highway improvements, and a recorded declaration of deferred water and sewer charges.
• Represented a national homebuilder in the $12.6 million bulk acquisition of 336 single-family lots in Milton, Sussex County, Delaware, with the deposit posted by letter of credit and up to $800,000 releasable to the seller for entitlement costs against a promissory note, guaranty, collateral assignment of plans and a first-position deed of trust, and a feasibility period keyed to the seller obtaining a transportation improvement district participation agreement.
• Represented a national homebuilder in the two-phase land-bank acquisition of 216 single-family attached lots in Georgetown, Sussex County, Delaware, negotiated through eight amendments, and prepared the lot finishing agreement, declaration, public offering statement and utility assessment disclosures for the community.
• Represented a national homebuilder in a rolling finished-lot takedown program in Sussex County, Delaware, closing successive lot releases under a single development agreement across seven settlements.
