Our attorneys provide basic and complex business planning services to our clients, including the preparation of incorporation, limited liability company, partnership and joint venture formation documents, as well as ancillary business operation agreements. In addition to choice of entity advice, we provide governance planning and capitalization planning. We advise our clients with regard to the sale or acquisition of their businesses, as well as the transfer of entity interests for strategic business or estate planning purposes. Leasing

We represent both landlords and tenants in leasing matters for a variety of commercial real properties - shopping centers, office buildings, warehouses, industrial and mixed-use projects throughout the Mid-Atlantic. We are skilled at drafting form leases, negotiating new leases and subleases, renewing existing leases, and interpreting disputed lease provisions. Our services include:

We are experienced in a wide range of land use matters, frequently represent property owners and developers in the preparation of applications for site plan, variance, re-zoning, subdivision and other governmental approvals, working in coordination with development professionals, such as architects, engineers and land planners. We offer zoning due diligence analysis, evaluation of project feasibility study  and related representation before local planning boards of adjustment and other governmental authorities.

Bankruptcy and Creditors' Rights

We have experience representing creditors’ committees, debtors, equipment lessors, financial institutions, landlords, and trustees in asset sales, executory contract disputes, avoidance litigation, claims litigation, lien priority disputes, plan confirmation proceedings, successor liability disputes, and stay relief litigation before bankruptcy courts and in creditors’ rights litigation in state and federal courts. We have also assisted lending institutions with commercial real estate foreclosures, equipment and inventory collateral sales under the UCC, and other post-judgment enforcement actions.
